- General Provisions
1.1. Baku International Centre of Multiculturalism (hereinafter referred to as the Centre) is a legal entity, a non-commercial institution which provides the maintenance of tolerance and cultural, religious, linguistic diversity in accordance with the ideology of Azerbaijanianism as well as introduces Azerbaijan as the centre of multiculturalism in the world, and studies and fosters the existing multicultural models.
1.2. In its activities the Centre is guided by the Constitution and laws of the Republic of Azerbaijan, the international agreements that the Republic of Azerbaijan is part to, the decrees and orders of the President of the Republic of Azerbaijan, the decisions and orders of the Cabinet of Ministers of the Republic of Azerbaijan and these Regulations.
1.3. While fullfilling its obligations and implementing its rights as stipulated in these Regulations, the Centre interacts with the state, local self-government bodies, mass media, local and foreign organizations, public and international institutions.
1.4. The Centre has its independent balance, budget, banking accounts, the state property used by it, its seal with the description of the state coat of arms of the Republic of Azerbaijan and its name on it, its stamp and formsheets.
1.5. The maintenance costs and activity of the Centre are financed at the expence of the state budgeting funds of the Republic of Azerbaijan and other resources as stipulated in these Regulations.
1.6. The Centre is located in the city of Baku.
1.7. The Centre submits a report on the outcomes of its annual activity to the President of the Republic of Azerbaijan.
- The Mission of the Centre
2.1. The main goal of the Centre is to provide the maintenance of tolerance and cultural, religious, linguistic diversity in accordance with the ideology of Azerbaijanianism as well as introduce Azerbaijan as the centre of multiculturalism in the world, and study and foster the existing multicultural models.
2.2. The main obligations of the Centre are:
2.2.1. To study the cultural, social, political essence of the Azerbaijani realities where multiculturalism and tolerance have turned into the lifestyle and develop the mechanism of their advocacy;
2.2.2. To define and realize the ways for the cultural-ethnographic diversity in Azerbaijan to serve the development of Azerbaijanianism;
2.2.3. To conduct a scientific analysis of the tolerant bases of the cultural, religious diversity in the Republic of Azerbaijan and define the ways of their maintenance;
2.2.4. To study the cultural legacy inherent to different regions, foster their harmonious development in the modern period and support the process of maintenance of the historical, cultural and religious monuments using the potentials of civil society;
2.2.5. To study and promote the degree of interaction of cultures of different regions in the multicultural life;
2.2.6. To seek the traces of ancient culture in different regions of the Republic of Azerbaijan in cooperation with the related scientific institutions (to organize the archeological surveys in accordance with the Law of the Republic of Azerbaijan “On the Protection of the Historical and Cultural Monuments”), carry out the collection, scientific study and maintenance of the cultural, ethnographic legacy;
2.2.7. To realize the projects to systematically remove some shortcomings in education, culture, science and other social spheres preventing the harmonious development of the moral integrity of the personality;
2.2.8. To take measures to increase the professional religious and seculiar knowledge of the young religious figures with different religious identities;
2.2.9. To provide the study of the multicultural achievements of the Republic of Azerbaijan by international specialists and the advocacy of them abroad;
2.2.10. To develop and implement the appraisal and promotion mechanism of the outstanding local and foreign citizens who have special merits in the transparency of the personality, establishment of mutual relations of international, interfaith respect and trust;
2.2.11. To spread and disseminate the personal experience of the world specialists in multiculturalism including the former and present political, social, scientific, cultural, art figures;
2.2.12. To carry out other obligations appropriate to these Regulations.
- The Rights of the Centre
3.0. The Centre has the following rights to fullfil its obligations:
3.0.1. to submit inquiries on the necessary data (documents) to the state and local self-government bodies, physical and legal entities and obtain such data (documents) from them;
3.0.2. to open affiliates and establish representations on the territory of the Republic of Azerbaijan and abroad;
3.0.3. to cooperate with the state and local self-governmental bodies, physical and legal entities;
3.0.4. to carry out international cooperation in accordance with the Law of the Republic of Azerbaijan “On the Rules of Conclusion, Execution and Annullment of International Agreements of the Republic of Azerbaijan”;
3.0.5. to be involved in business activities appropriate to its goal;
3.0.6. to involve independent experts and specialists in its activities as commissions, to carry out analyses, researches and generalizations, develop analytical materials;
3.0.7. to organize courses, seminars, roundtables, meetings, exhibitions, competitions in accordance with its goal, hold festivals, conferences, charity marathones and other mass cultural events;
3.0.8. to disseminate freely the data on its goal and activity, create TV programs and appropriate internet sites on mass media including the virtual space;
3.0.9. to implement other rights appropriate to these Regulations.
- The Formation of the Resources of the Centre and Use of Them
4.1. The resources of the Centre are formed on the basis of the following sources:
4.1.1. Allocations from the state budget of the Republic of Azerbaijan;
4.1.2. Donations in accordance with the Law of the Republic of Azerbaijan “On the Non-governmental Organizations (public unions and fonds)”;
4.1.3. Grants in accordance with the Law of the Republic of Azerbaijan “On Grants”;
Dividends and incomes from shares, bonds, other securities and savings;
4.1.4. The incomes obtained from exhibitions, concerts and other activities appropriate to its goal;
4.1.5. The incomes obtained from the activities of the organizations it has established;
4.1.6. Other sources as stipulated in the Law of the Republic of Azerbaijan “On Non-governmental Organizaitons (public unions and fonds)”
4.2. The Centre makes use of the resources at its disposal in accordance with the areas of activities as defined in these Regulations.
4.3. The resources left in the account of the Centre by the end of the fiscal year shall be directed to financing of its expenses for the next year.
4.4. The information on the use of the resources of the Centre is published in mass media by the end of each fiscal year.
- The Management of the Centre
5.1. The supervision over the activity of the Centre and general control over its activity are carried out by the Board of Trustees (hereinafter referred to as the Board).
5.2. The Board is composed of eleven people including the Chairperson (the identically authorized co-chair), Deputy Chair and other board members,
5.3. The Executive Director is the Deputy Chair of the Board due to his position. The other members of the Board are appointed by the President of the Republic of Azerbaijan.
5.4. The Chairperson and the identically authorized co-chair are elected from among the members of the Board at the Board meeting.
5.5. With the exception of the Deputy Chair of the Board, the term of office of the Board members is 4 years.
5.6. The Board members are involved in the work of the Board on a free-of-charge basis.
5.7. The Board meetings are held less than once in three months. The extra-ordinary meetings of the Board can be held at the initiative of more than half of the Board members, the Chair of the Board or the Executive Director of the Centre.
5.8. The Board meetings are considered authorized in case more than half of its members are present. The decisions of the Board are adopted by simple majority of votes of the Board members present at the meeting through an open voting. In case the votes are equal, the vote of the Chair of the Board is considered decisive.
5.9. The Board
5.9.1. defines the general aspects of the activities of the Centre;
5.9.2. discusses the issues related to the current activities of the Centre, develops proposals aimed at the improvement of its activities and submits them to the President of the Republic of Azerbaijan;
5.9.3. exercises a general control over the appropriateness of the activities of the Centre to the legislation of the Republic of Azerbaijan, the formation and expenditure of its resources;
5.9.4. develops the strategy of drawing additional resources to the Centre and supervises its implementation;
5.9.5. submits to the Executive Director of the Centre the proposals on the areas considered more appropriate to fostering the support of the implementation of projects, actions following the streamlines of the activities of the Centre;
5.9.6. gives notice of the project of the estimate of annual costs of the Centre in accordance with the presentation of the Executive Director of the Centre;
5.9.7. approves the main application areas of the resources of the Centre in accordance with the presentation of the Executive Director of the Centre and reviews the statement of financial position of the Centre;
5.9.8. reviews the Executive Director’s annual reports on the use of the resources of the Centre and gives notice;
5.9.9. carries out other obligations appropriate to its goal.
5.10. The Board members have the following rights to:
5.10.1. participate in the solution of the issues on the authorizations of the Board;
5.10.2. familiarize oneself in advance with the agenda of the Board meeting and the materials to be considered;
5.10.3. express opinion on the decisions to be made at the Board;
5.10.4. make proposals on addressing the issues about the authorizations of the Board at the Board meetings;
5.10.5. familiarize oneself with the decisions of the Board, the minutes of its meetings and other documents.
5.11. The Board members shall:
5.11.1. treat the considered issues unbiasedly;
5.11.2. not miss the Board meetings without reasons;
5.11.3. not allow any actions or speeches that might taint the image of the Board member;
5.12. The Chairperson of the Board:
5.12.1. organizes the work of the Board;
5.12.2. defines the agenda of the Board meetings, summons the meetings and presides over the meetings;
5.12.3. takes other actions related to the organization of the activities of the Board.
5.13. In case the Chairperson of the Board fails to fullfil his obligations, the Deputy Chair of the Board shall take over his authorizations.
5.14. Each Board member shall inform the Board and not participate in decision-making in case the issues considered at the Board meeting are against his interests as well as there are reasons for his bias.
5.15. The authorizations of the Board member (with the exception of the Deputy Chair of the Board) may be terminated prior to the due time in the following cases:
5.15.1. when he applies for his resignation in written form by his own free will;
5.15.2. when inappropriateness of the Board member to the requirements as stipulated in these Regulations is detected;
5.15.3.when he fails to fullfil his obligations in the period more than six months due to his health reasons;
5.15.4. when he misses four subsequent Board meetings without any reasons;
5.15.5. when the court determines his flaw or limited capacity to act;
5.15.6. when legal proceedings are terminated without any justifiable reasons as well as in case there is a legally valid verdict of the court or in case of court decision on the use of enforced medical measures;
5.15.7. in case of actions tainting the image of the Board member.
5.16. In case the authorizations of the Board member are terminated (with the exception of the Deputy Chair of the Board) prior to due time, a new member to replace him is appointed as stipulated in these Regulations for the remaining part of his term of office.
- The Organization of the Activities of the Centre
6.1. The Executive Director of the Centre is appointed and removed by the President of the Republic of Azerbaijan.
6.2. The Executive Director of the Centre:
6.2.1. supervises over the current activities of the Centre and represents the Centre;
6.2.2. approves the structure of the Centre in agreement with the Board;
6.2.3. approves the annual plan of actions of the Centre in agreement with the Board;
6.2.4. manages the property of the Centre including its financial resources, concludes legal agreements on behalf of the Centre, issues orders and executive orders and instructions, exercises control over their implementation;
6.2.5. hires and removes the employees on the basis of an agreement, takes measures of stimulation and legal disciplinary reprimand;
6.2.6. Approves the internal disciplinary rules of the Centre and the code of ethics of the staff members;
6.2.7. submits to the Board the project of the cost of expenditure of the Centre, his proposals on the guidelines of the use of resources;
6.2.8. exercises the supervision over the execution state of the projects and other activities financed by the Centre;
6.2.9. Develops an annual report on the state of the use of the resources of the Centre, submits it to the President of the Republic of Azerbaijan together with the appropriate review of the Board;
6.2.10. Organizes the paperwork of the Centre;
6.2.11. takes appropriate actions within his authorizations in connection with the execution of the decisions adopted by the Board;
6.2.12. briefs the soceity about the decisions adopted at the Board meetings;
6.2.13. provides the publication of the materials reflecting the annual activities of the Centre in the press;
6.2.14. exercises other authorizations in accordance with these Regulations.
6.3. The estimate of costs and the staff schedule of the Centre, the maximum size of the personnel, the monthly salaries of the Executive Director and staff members are approved by the Cabinet of Ministers of the Republic of Azerbaijan.
- The Re-organizaiton and Annullment of the Centre
7.1. The re-organizaiton and annullment of the Centre are carried out by the President of the Republic of Azerbaijan.
7.2. When the Centre is annulled, its property is disposed in accordance with the Civil Code of the Republic of Azerbaijan.
